Terms of Use
These terms govern your use of kestaplacement.com (the "Site") and the referral service offered on it. By using the Site or submitting the form, you agree to them. If you do not agree, do not use the Site.
1. What we do
Kesta Placement ("we," "us") operates a referral service. We review information you submit and, where we believe there is a fit, introduce you to one or more third-party payment processors, acquiring banks, independent sales organizations, or chargeback and fraud remediation providers (each a "Partner"). That is the entire service.
2. What we are not
We are not a payment processor, acquiring bank, independent sales organization, registered agent, payment facilitator, money transmitter, or financial institution. We are not registered with any card network. We do not underwrite merchant accounts, make credit or risk decisions, set pricing, hold or move funds, or provide payment services of any kind. Any merchant account, service, or agreement you enter into is between you and the Partner, and the Partner alone is responsible for it.
3. No guarantees
We do not guarantee that any Partner will accept your application, offer you any particular rate, reserve, term, or timeline, or continue to serve you. Any figures on the Site describing typical pricing, reserves, or approval times are general industry ranges for information only, are not offers, and may not apply to you. Whether a Partner works with you, and on what terms, is entirely the Partner's decision.
4. Eligibility and your representations
By submitting the form you represent that you are at least 18 years old, that you are authorized to act for the business you describe, that the information you provide is accurate and not misleading, and that your business does not sell counterfeit or replica goods, adult AI content, unlicensed gaming or gambling, or anything illegal in the jurisdiction of the business or its customers. We may decline any submission for any reason and are not required to explain why.
5. Information you provide
The form asks for routing information only. Do not submit government identification numbers, bank or card account numbers, processing or bank statements, or any other underwriting document through the Site or by email to us. Those go directly to the Partner through the Partner's own process. Our handling of what you do submit is described in our Privacy Policy, which is part of these terms.
6. Compensation
We do not charge you. We may receive a referral fee, commission, residual, or other compensation from a Partner if you become its customer. This compensation is paid by the Partner and does not increase what you pay. We may have a financial incentive to refer you to Partners that compensate us, and we may not refer you to every provider that could serve you.
7. Your dealings with Partners
Any application, agreement, pricing, reserve, dispute, or other matter between you and a Partner is solely between you and that Partner. We are not a party to it, we do not control the Partner, and we are not responsible for a Partner's acts, omissions, underwriting decisions, service, or compliance. Review any agreement a Partner offers you with your own advisors before signing.
8. No professional advice
Nothing on the Site is legal, financial, tax, compliance, or regulatory advice. Content describing card network rules, risk programs, regulatory status, or industry practice is general information that may be incomplete or out of date. Consult qualified professionals for advice on your situation.
9. Intellectual property
The Site and its content are owned by us or our licensors. You may view and print pages for your own business use. You may not copy, republish, scrape, or create derivative works from the Site without written permission.
10. Acceptable use
You will not use the Site to submit false information, to impersonate another business, to interfere with the Site's operation, to harvest data, or for any unlawful purpose.
11. Disclaimer of warranties
The Site and the referral service are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.
12. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any lost profits, lost revenue, lost business, or loss of a merchant account, arising from your use of the Site or the referral service or from your dealings with any Partner. Our total liability for any claim relating to the Site or the service will not exceed one hundred dollars ($100). Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the extent permitted.
13. Indemnity
You will defend, indemnify, and hold us harmless from any claim, loss, or expense, including reasonable attorneys' fees, arising from information you submit, your breach of these terms, or your dealings with any Partner.
14. Governing law and disputes
These terms are governed by the laws of the State of Texas without regard to its conflict of laws rules. Any dispute arising from these terms or the Site will be resolved exclusively in the state or federal courts located in Denton County, Texas, and you consent to their jurisdiction. If any provision of these terms is found unenforceable, the rest remain in effect.
15. Changes
We may change these terms at any time by posting a revised version with a new effective date. Continued use of the Site after a change means you accept it.
